Terms
How Sharp Pencil works, what a takeoff is and is not, what happens to your files, and how payment and plans work.
Last updated 12 October 2026.
1. The agreement
These terms are between you and Sharp Pencil LLC, a limited liability company organized in Georgia ("Sharp Pencil", "we", "us"). By creating an account, uploading a file, or paying us, you agree to them. If you use Sharp Pencil for a company, you confirm that you can agree on the company's behalf. Please read them once, they are short on purpose.
2. What we do
Sharp Pencil produces quantity takeoffs for commercial roofing from the drawings and specifications you upload. We deliver the takeoff to your account, with the questions the drawings leave open. When you give us your own costs, we also return the takeoff priced with your numbers. We aim to deliver within 48 hours of receiving a complete set. If something in the set will slow that down, we tell you.
We do not bid, price against, or perform roofing work, and we are not a roofing contractor.
3. A takeoff is a starting point. You verify it.
- A takeoff or an estimate from us is a starting point for your bid. It is not a guarantee, a bid, or professional advice.
- Before you rely on a quantity, check it against the drawings. Each quantity names the sheet it came from and carries a grade, and the open questions list shows what the documents did not settle. Use them.
- Drawings can be incomplete, out of date, or in conflict with each other. We work from the documents you send us, and the result is only as good as those documents.
- You are responsible for your bids, your pricing, the materials you order, and the work you perform. We are not responsible for losses that come from a bid or an order placed without checking.
- If a number is wrong because of a mistake on our side, tell us which number and which sheet. The re-run that comes with the job is how we put it right at no charge.
- If we cannot produce a takeoff from the files you sent, we tell you what is missing and what to send instead. If you paid for that takeoff up front, tell us and we will sort the payment out with you directly.
4. Your files and your data
- They stay yours. You keep ownership of what you upload. You confirm that you have the right to send it to us.
- We use them for your work. We use your drawings and specifications to produce your takeoff, and to run your account. Uploaded drawing sets may also help improve how the system reads drawings, but never your cost data, your prices, or anything that identifies you or your company. We do not share them, sell them, or publish them.
- Your cost data prices your estimates only. It is never pooled, benchmarked against anyone else, shown to another customer, or sold.
- We never bid your work. Your plan set is never used to compete with you. If we ever use it that way, we owe you a refund of everything you have paid us.
- Deleting. Plan sets are deleted whenever you ask by email to [email protected]. Automatic deletion 90 days after upload is being rolled out. Delivered takeoff packages are kept for your records until you ask us to delete them. You can ask us to delete any of your files, jobs, packages, or price book whenever you like, and we confirm in writing.
The Your data, your bids page explains these commitments in plain language, and the privacy page explains what we collect. Both are part of these terms.
5. Prices and payment
- Your first takeoff is free, one per contractor, on a job you are actually bidding.
- After that, a takeoff on a new set of drawings, or a new address, is $395. Answer the questions we ask and one re-run of that same job is included in the price.
- A further run on the same job is $50, in two cases only: you had us run it before you answered our questions, or you have already used the included re-run and want another pass.
- Monthly plans are described in the pricing section of the home page. The price on the site when you order is the price you pay. Prices are in US dollars.
- Payments are processed by Stripe. We do not see or store your full card number.
- Any prepaid balance on your account is refundable on request. Email us and we return the unused amount to the card you paid with.
6. Plans, monthly and yearly
- A plan covers a set number of takeoffs each month. A new set of drawings, or a new address, uses one takeoff.
- Every plan includes 3 seats. Extra seats are $49 a month each.
- Takeoffs expire at the end of each month. Unused takeoffs do not roll over and there is nothing to cash out. This applies to yearly plans too: a yearly plan counts the same number of takeoffs each month, not one pool for the year.
- A takeoff beyond what your plan covers is charged at the extra takeoff price on the pricing section.
- Your free first takeoff and the $50 same-job run sit outside the plan and use no credit.
- Monthly billing is month to month, with no term and no cancellation fee. To stop or change your plan, tell us before your next billing date.
- Annual billing is the same plan paid once for the year, at the price of 11 months for 12 months of service. Yearly plans are paid up front and are non-refundable once paid. Monthly plans can be cancelled before the next billing date, as above.
7. Using the service
Use Sharp Pencil only for lawful purposes. Do not upload anything that contains malware, do not try to reach another customer's data, and do not use the service to build a competing takeoff product. A shared login is fine within the seats your plan includes. We may suspend an account that is being misused, and we will tell you why.
8. No warranty, and a limit on liability
Sharp Pencil is provided as is. We work to get the numbers right, and we do not promise that a takeoff is free of error or fits a particular job. To the extent the law allows, we are not liable for indirect or consequential losses, such as a lost bid, lost profit, or the cost of materials ordered from a quantity you did not verify. Our total liability for any claim is limited to the amount you paid us for the takeoff or the plan month the claim relates to.
9. Ending the relationship
You can stop using Sharp Pencil at any time. We can end your access if you break these terms or if we stop offering the service, and if we stop offering it we will tell you first. When it ends, your files are deleted as described above.
10. Changes to these terms
If these terms change, the page changes first and existing customers are told directly, not quietly. A change does not reach back to a takeoff you already ordered.
11. Governing law
These terms are governed by the laws of the State of Georgia, and any dispute is for the courts located in Georgia. Before either of us goes to court, we will try to settle it by talking.
